1. Acceptance of Terms

By accessing or using PurpleUp.ai (the "Service"), operated by PurpleUp.ai ("PurpleUp," "we," "us," or "our"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree to these Terms, you may not use the Service.

These Terms constitute a legally binding agreement between you and PurpleUp. Please read them carefully before using the Service.

2. Account Registration and Responsibility

To use the Service, you must:

• Be at least 16 years of age
• Provide accurate and complete registration information
• Maintain the security and confidentiality of your account credentials
• Promptly notify us of any unauthorised access to your account

You are responsible for all activity that occurs under your account. You may register using an email address and password, or by signing in through Google OAuth. PurpleUp is not liable for any loss arising from unauthorised use of your account.

3. Service Description

PurpleUp is an AI-powered content management platform designed to help users create, plan, and manage content for personal branding and social media growth. The Service includes features such as:

• AI-assisted script and content creation
• Carousel and visual content generation
• Content strategy planning
• Content calendar and scheduling tools
• Engagement analytics and insights
• Text-to-speech generation
• Social media profile analysis

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with or without notice. We will make reasonable efforts to notify you of significant changes.

4. Subscription and Billing

4.1 Plans and Pricing

PurpleUp offers both free and paid subscription plans. Details about current plans and pricing are available on our website. We reserve the right to change pricing with at least 30 days' notice before the change takes effect on your next billing cycle.

4.2 Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually, depending on your plan) unless you cancel before the renewal date. You will be charged using the payment method on file.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Upon cancellation:

• Your subscription remains active until the end of the current billing period.
• You will not be charged for subsequent periods.
• You retain access to paid features until your current period expires.
• After expiry, your account reverts to the free tier (if available) or becomes read-only.

4.4 Refund Policy

Refunds are generally not provided for partial billing periods. However, if you experience a significant service issue or believe you were charged in error, contact us at legal@purpleup.ai within 14 days of the charge, and we will review your request on a case-by-case basis. EU consumers may have additional rights under applicable consumer protection laws.

4.5 Payment Processing

All payments are processed by Stripe. By subscribing, you agree to Stripe's terms of service. PurpleUp does not store your full credit card information.

5. Acceptable Use

You agree not to use the Service to:

• Create, upload, or distribute content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
• Infringe on the intellectual property rights of others
• Generate spam, phishing content, or misleading material
• Attempt to gain unauthorised access to the Service, other user accounts, or our systems
• Use automated scripts, bots, or scrapers to access the Service without our written permission
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell, redistribute, or sublicense access to the Service without authorisation
• Circumvent usage limits, rate limits, or other technical restrictions
• Use the Service in any manner that could damage, disable, or impair its operation

We reserve the right to suspend or terminate accounts that violate these rules, with or without prior notice, depending on the severity of the violation.

6. Intellectual Property

6.1 Your Content

You retain ownership of the content you create using the Service. By using PurpleUp, you grant us a limited, non-exclusive licence to store, process, and display your content solely for the purpose of providing the Service to you. We do not claim ownership of your content and will not use it for any purpose other than delivering and improving the Service.

6.2 Our Platform

PurpleUp, including its software, design, branding, logos, and documentation, is the intellectual property of PurpleUp.ai and is protected by applicable copyright, trademark, and other intellectual property laws. You may not copy, modify, or create derivative works of any part of our platform without our prior written consent.

6.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us an unrestricted, perpetual, royalty-free licence to use that feedback to improve the Service, without any obligation to you.

7. AI-Generated Content

The Service uses third-party AI models (including those from Anthropic, Google, OpenAI, ElevenLabs, and Perplexity) to generate content on your behalf. You acknowledge and agree that:

• No guarantee of accuracy: AI-generated content may contain errors, inaccuracies, or biases. You are responsible for reviewing and verifying all AI outputs before publishing or relying on them.
• Not professional advice: AI-generated content does not constitute legal, financial, medical, or other professional advice.
• Your responsibility: You are solely responsible for how you use, publish, or distribute content generated through the Service.
• Third-party terms: AI-generated outputs may be subject to the terms of the underlying AI providers. We make reasonable efforts to ensure compliance but cannot guarantee that outputs will meet all third-party requirements.
• No exclusivity: AI models may generate similar or identical content for other users based on similar inputs.

8. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
• PurpleUp shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid to PurpleUp in the 12 months preceding the claim.
• We are not liable for any downtime, service interruptions, data loss, or errors caused by third-party services, internet connectivity issues, or circumstances beyond our reasonable control.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable EU law.

9. Indemnification

You agree to indemnify and hold PurpleUp harmless from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

• Your use of the Service
• Content you create, publish, or distribute using the Service
• Your violation of these Terms
• Your violation of any third-party rights

10. Termination

10.1 By You

You may stop using the Service and delete your account at any time through your account settings, or by contacting us at legal@purpleup.ai.

10.2 By Us

We may suspend or terminate your account if you violate these Terms, engage in fraudulent activity, or if required by law. Where possible, we will provide reasonable notice before termination. In cases of severe violations, we may terminate access immediately.

10.3 Effect of Termination

Upon termination:

• Your right to use the Service ceases immediately.
• We may delete your account data in accordance with our Privacy Policy.
• Provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) will continue to apply.

11. Governing Law and Jurisdiction

These Terms are governed by and construed in accordance with the laws of the European Union and the member state in which PurpleUp is established. Any disputes arising from or in connection with these Terms shall be subject to the jurisdiction of the competent courts in that member state.

If you are a consumer within the EU, you also benefit from any mandatory provisions of the consumer protection laws of your country of residence. Nothing in these Terms affects your rights as a consumer under applicable EU law.

12. Dispute Resolution

In the event of a dispute, we encourage you to contact us first at legal@purpleup.ai to seek an amicable resolution. We will make reasonable efforts to resolve disputes within 30 days.

EU consumers may also refer disputes to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

13. Severability

If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

14. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PurpleUp regarding the use of the Service and supersede all prior agreements and understandings.

15. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a prominent notice within the Service at least 14 days before the changes take effect. Your continued use of the Service after the updated Terms take effect constitutes your acceptance of the changes.
